WHAT WE DO
Legend Financial Advisors, Inc. (Legend) is a fee-only U.S. Securities Exchange Commission registered investment advisory firm with its headquarters located in Pittsburgh, Pennsylvania. Legend provides Wealth Advisory Services including Comprehensive Financial Planning and Investment Management to affluent and wealthy individuals as well as business entities.
We recognize that along with financial success comes increased responsibilities and complexity. At Legend, we provide a holistic approach to managing all aspects of our clients’ financial situations. By doing so, we can exploit the critical interdependencies among investments, income and estate taxes, providing income for retirement, daily expense management, as well as business counseling and philanthropic decision-making, if appropriate. We recognize that our clients’ unique financial needs and goals change over time, so we offer a spectrum of services. We can demonstrate the short-term as well as long-term benefits of smarter tax strategies and improved investment decisions. We will also show our clients how to securely transfer money to loved ones, establish a trust or foundation, or simply help them to manage their finances on a daily basis.
WHO WE SERVE
Our services are designed to assist the Soon-to-be-Affluent, Affluent (those individuals that have investment assets of $1,000,000 to $10,000,000) and Wealthy (those individuals whose investment assets exceed $10,000,000) individuals and their family members, as well as business entities. Our clients typically seek unbiased advice with tailored recommendations, improved after-tax results especially with regard to investments, assistance with regard to the transfer of wealth to the next generation, protection of their wealth, and reduction of time spent overseeing their affairs and dealing with a multitude of advisors. We offer our all-encompassing personalized Wealth Advisory Services in essentially the same manner as that being offered by family offices for super wealthy (typically more than $200,000,000 of investment assets) families, where all of that family’s advisors are under one roof and operate as a team in addressing only that client’s needs in a concerted manner. How we differ from a family office that deals only with one very wealthy client is that we serve those clients whose level of wealth cannot justify a team of advisors working exclusively for them. In other words, we provide the same types of services to multiple clients.
HOW WE DIFFER FROM OUR COMPETITION
We differ from most of our competitors in several ways. First we are compensated exclusively by fees paid by our clients thereby allowing us to work in our clients’ best interests and solely for them. In other words, we act in a fiduciary capacity when advising our clients. Unlike us, many of our competitors receive the bulk, if not all, of their compensation (commissions) from the products they recommend. Many times there are hidden commissions and compensation fees, which are not transparent to the client. In that capacity, by law those advisors are required to work in their firm’s best interest, not the client’s. Other firms work as a fiduciary for their client only part of the time (they charge a fee part of the time) and are commissioned salespeople at other times. These advisors call themselves fee-based, attempting to confuse the client into thinking they are fee-only. Usually, in both of these situations, the individuals that represent these firms have an incentive to recommend high cost products, such as whole life and/or universal life insurance, variable annuities, and A, B, & C shares of mutual funds.
The second major way in which we differ from our competitors is that we work as a team for our clients, providing personal attention every step of the way. In most firms, each advisor has his or her own set of clients. While any two advisors in the same firm may operate in a somewhat similar manner, clients almost always receive two different levels of service as well as quality of advice. At Legend, all clients are firm clients and are counseled in the same manner and receive the same innovative level of advice and hands-on, courteous service. Each of our advisors specializes in a different area and works on the clients’ behalf in a concerted manner thereby ensuring the quality of advice and level of service we are providing. Also, we take over the time-consuming task of managing client’s affairs among multiple advisors both internal and external to Legend. We are always eager to work with a client’s existing advisors to recommend strategies that address our client’s needs. Should a client need an advisor in a particular area that requires expertise that Legend does not provide, (for example a labor attorney, if we were counseling a business), we will recommend a prescreened professional who can assist in this area.
We further differ from our competitors in that we create customized solutions for our clients. One simple example of this is, oftentimes, our clients come to us with investments, which have a low cost basis. At many of our competitor’s firms, they would simply sell the asset and fit the proceeds into their investment offering. At Legend, a comprehensive analysis of all securities as well as their tax ramifications would first take place and then be discussed at length. A strategy would then be developed and agreed upon by the client. If a particular security no longer fits the portfolio, a plan of attack would be developed to liquidate it. Typically, securities with a low cost basis would be whittled down over time, utilizing losses from other securities.
Not only do we have a number of investment management offerings, which can be tailored to each client’s needs, but we are constantly on the lookout for new investment strategies, which we can offer to our clients.

Client Education
Education is very important to us. Legend is dedicated to educating each
client about the different
investment portfolio types and how they relate to market volatility, time

which they are comfortable.

Evaluating Us
Asset management clients receive quarterly performance reports. A report
details the portfolio performance
during the client’s fiscal quarter, and provides a comparison against a
number of indices. These
performance reports, while providing detailed information, are easy to read
and understand.
Selection of Portfolio Managers At Legend, portfolio managers are selected first, then the investment vehicle. By constantly researching and identifying both the strong and weak characteristics of portfolio managers and their investment process, we assure that our clients are receiving the highest quality management talent. All portfolio managers that we recommend are screened using one on one interviews, followed with periodic conference calls. In addition to private account management, Legend is nationally known for our expertise in selecting mutual funds. Also, over the years, Legend has developed strong relationships within the mutual fund industry. As a result, Legend is able to leverage these relationships to benefit our clients. For example, our clients are provided access to institutional funds that normally carry $250,000 or more minimums. Also, our clients are offered no-load, also known as load-waived, funds that would otherwise carry a load. Furthermore, the institutional funds used by Legend maintain lower expense ratios. Finally, at times, Legend even provides access to funds that have been closed to new investors..
MUTUAL FUND PORTFOLIOS
Global Asset Allocation
Legend believes that value in the various investment markets is the long-term
determinant of asset prices
and that misvaluations occur regularly, providing opportunity to enhance
performance by active
management. Legend blends different types of investments having various
capitalization sizes (large and
small) and investment styles (value and growth) within each asset class.
Furthermore, Legend determines
through the analysis of current and historic worldwide financial market and
economic data which asset
classes and investment styles are under-valued, fairly-valued and
over-valued. Legend attempts to capitalize
on these misvaluations by weighting higher percentages of the client’s
portfolio to the investments that offer
the greatest value.
Part of our global asset allocation investment philosophy is to provide broad
diversification by using a variety
of different asset classes with low correlations to each other. Low
correlations of return between asset
classes and investment styles help to mitigate performance volatility, which
in turn decreases risk while
perhaps increasing return. The major asset classes used in our Multiple Asset

Lower Volatility Portfolios
The Lower Volatility Portfolios consist of a number of different investment
portfolios each designed to meet a
specific client need. These portfolios are designed for those investors
seeking steady returns, with
significantly less volatility than the overall market. To meet this
objective, portfolio simulation and
quantitative analysis are used to screen potential investment opportunities.
Many of the funds selected
experience far less downward movement than the overall market. Our Lower
Volatility Portfolios combine
traditional funds with non-traditional funds that when combined historically
have exhibited a weak correlation
to the overall market. In each portfolio, each combination of funds is
equally weighted and rebalanced
annually.
Ultra-Speculative Portfolios
Legend’s Ultra-Speculative Portfolios focus on buying high growth stocks,
mutual funds, and to a lesser
degree growth stocks that are, in effect, mutual funds. These high growth
investments include not only such
hot growth areas as the Internet, technology, biotechnology, and
telecommunication companies, but also
liquid venture capital, emerging market country companies, small developed
country international stocks,
and aggressive hedge type investments, among others. We call this option the
"Ultra-Speculative Portfolio"
because frequently the prices for these securities make little sense based
upon traditional valuation
methods. When in favor, these securities show a tendency to generate
spectacular returns. However,
potential losses on some of these securities could approach 60% or even more.
We utilize predominantly
mutual funds as the vehicle to acquire these types of securities, although at
times, individual equities are
used. The mutual funds used could be diversified funds, sector funds, index
funds, and perhaps even
leveraged funds..
INDIVIDUAL EQUITY MANAGEMENT
Legend has created a number of individual equity portfolios based upon
different investment approaches.
The portfolios are managed on a discretionary basis. Clients do not have the
opportunity to provide input on
each individual purchase, but are able to discuss, with a Legend advisor, the
overall approach of the
portfolio. The portfolios are as follows:
All Cap Earnings Momentum
Stocks selected are based upon positive earnings surprises as well as
positive earnings estimate
announcements. This portfolio is maintained by combining individual equities
that provide both maximum
long-term returns and equities that should outperform the market over the
next 1-3 months. This
combination makes the All Cap Earnings Momentum portfolio suitable for both
long term and short-term
investors. There are approximately 15-25 positions in the portfolio.
Tax-Managed Large-Cap Equity Management
This portfolio is a conservative, low-risk value approach to investing in
high-quality U.S. companies. The
portfolios are fully invested and well-diversified across industry sectors.
The goal is to identify and buy high-quality,
attractively priced investments while adhering to a rigorous, disciplined
investment process that is
designed to provide superior risk/reward performance. There are approximately
30-40 positions in the
portfolio.
Tax-Managed Mid-Cap Equity Management
This portfolio is an attractive alternative to small-cap equities. The focus
is to invest in high-quality U.S.
companies with a market cap generally between $1 billion to $10 billion. The
portfolios are fully invested and
well diversified across industry sectors. The goal is to identify and buy
high-quality, attractively priced
investments while adhering to a rigorous, disciplined investment process that
is designed to provide superior
risk/reward performance. There are approximately 50-60 positions in the
portfolio..
HEDGE FUNDS AND VENTURE CAPITAL
Through Legend’s vast network of contacts within the financial community,
we offer clients access to more
sophisticated investment alternatives, such as hedge funds and venture
capital.
There is a general perception that hedge funds are dangerously high risk
vehicles designed only for the elite.
The majority of statistical and intellectual evidence suggest otherwise.
Hedge funds exhibit inherent returns,
which exists partly because there is excess profit to be earned from
consistently dealing in the world’s
capital and derivative markets on superior terms. Furthermore, these inherent
returns are enhanced by
another key attribute of the hedge fund structure; incentive based
compensation. These alternative
investment strategies are yet another way Legend offers customized investment
solutions that add value to
client portfolios..
Comprehensive Financial Planning Services
After a client completes an extensive data questionnaire and delivers all
relevant financial documents,
Legend will develop a comprehensive financial plan. It will address the
following areas:
Preparation of financial statements

As part of the financial planning process, Legend develops specific
recommendations addressing each of
the above listed areas. During this first part of the process, the client
will meet with a Legend advisor
approximately four to seven times. Each meeting will vary between two and
four hours, depending upon the
complexity of the client’s situation.
Once the recommendations are made, Legend then assists in the implementation
of the recommendations
where it possibly can. Some examples include:.
Arranging loans, including mortgages and
personal loans with private banking
departments of banks and, when necessary, introducing a client with
commercial loan
needs to an appropriate banking officer.
Providing a banker with appropriate
financial information to arrange or renew a loan for
the client.
Sending financial information to
attorneys so that they prepare the necessary estate
documents, including wills, trusts, powers of attorney, health care proxy,
and living
wills.
Sending tax information to accountants,
such as bonus payments, gains and loss
information on the sale of securities, etc. to prepare the tax return and
make
appropriate estimated tax payments.
Requesting information on the policy
status of life insurance and annuity policies on
behalf of the client. This information would include such items as death
benefits, cash
values, surrender charges, beneficiaries, tax basis, investment return, etc.
Requesting the tax basis of securities
on behalf of clients.
Requesting insurance quotes on behalf
of clients.
During the first twelve months of service, as well as all ensuing years that
Legend is retained, the client is
entitled to unlimited phone calls, meetings, service, and advice for their
retainer fee. The second and all
subsequent years’s retainer fees are approximately 50% to 70% of the
original retainer fee, again,
depending upon the level of complexity of the client’s situation. Legend,
at any time, at its discretion, may
increase financial planning retainer fees due to increased operating costs..
DIANE M. PEARSON, CFP
Diane M. Pearson, CFP is a shareholder and financial planner with Legend Financial Advisors, Inc. Ms. Pearson has been with Legend Financial Advisors, Inc. since its’ inception in January, 1994. Previously, she was employed by Lou Stanasolovich at Allegheny Financial Group, Ltd. In March 1989, Ms. Pearson was initially employed as an administrative assistant/marketing associate and was promoted to practice coordinator in 1991, senior practice coordinator in 1992, assistant financial planner in 1993 and Senior Assistant Financial Planner in 1995. She has been an advisor with Legend since January, 1998. Ms. Pearson is the director of Legend’s Financial Planning department. She is responsible for meeting with clients, researching client issues, preparing and presenting financial plans and updates and training staff associates in these areas. Her areas of concentration include estate planning, stock option exercise planning and retirement distribution planning. As the senior staff member, she oversees and/or serves as a resource for many of the firm’s day-to-day operations. Ms. Pearson earned the Certified Financial Plannerä (CFP) designation in 2000. She obtained her Series 65 (Investment Advisor) in 1997, Series 7 (Registered Representative), Series 63 (Uniform Securities Agent State License Exam) and life and health insurance licenses in 1992. She graduated from Robert Morris College in December, 1985 with a bachelor’s degree in management and an associate’s degree in accounting. ANTHONY S. VARGO
Anthony S. Vargo joined Legend in January, 2000 as an Asset Management Advisor. Mr. Vargo’s primary responsibilities entail portfolio management, investment research, oversight of asset management reporting and analysis, and conducting client presentations. In addition, Mr. Vargo also researches and analyzes alternative investments, mutual fund managers, and the economic environment. Prior to joining Legend, Mr. Vargo served as a Private Client Portfolio Manager with PNC Bank’s Trust Department. Prior to his employment with PNC, Mr. Vargo served as a Senior Financial Analyst with Charles Schwab & Co. Inc. in San Francisco, California. In this position, Mr. Vargo conducted financial analysis and planning for several of Schwab’s business enterprises. Also, while employed with Charles Schwab, Mr. Vargo served as an investment consultant and as an equity and option-trading representative. Mr. Vargo has been quoted in The Wall Street Journal, The Investment News, Financial Planning Magazine, and the Pittsburgh Post Gazette’s Market Monday and Finance Tips’ column. Mr. Vargo has also given presentations on investing before various professional organizations and corporations. Mr. Vargo earned a Bachelor of Science in Business Administration majoring in economics from The Ohio State University. He received a Masters of Business Administration with an emphasis in finance from The Katz School of Business at the University of Pittsburgh. Additionally, Mr. Vargo received a certification in Valuation Analysis from Harvard Business School’s Financial Management - Executive Education Program. DAVID M. WOLFE, CPA David M. Wolfe is a Certified Public Accountant. David joined Legend as a tax advisor in July, 2000. He previously founded the public accounting firm, David M. Wolfe, Certified Public Accountant in 1991. His public accounting firm provides services to small businesses and individuals that involve accounting, forms of business ownership, and tax planning and compliance issues. Mr. Wolfe has held staff and management positions in accounting, finance and sales with Deloitte & Touche, Gimbels, Rockwell International, Automatic Data Processing and Mellon Bank. David graduated from The Pennsylvania State University with a Bachelor of Science degree, in accounting, and from The Ohio State University with a Masters of Business Administration degree. David has served on the boards of directors and held various officer positions of the Cranberry area Chamber of Commerce, Cranberry Rotary Club, American Wind Symphony Orchestra, Pine Creek Community Band, and his church.
